JustSystems Fortifies $44.7M Strategic Alliance with Keyence

Keyence Takes 44% Stake in JustSystems, Provides Financial Stability and Enterprise Opportunities into Fortune 2000 Manufacturing Companies

NEW YORK and VANCOUVER — April 21, 2009 — JustSystems, the largest independent software vendor in Japan and a worldwide leader in XML and information management technologies, today announced it has formed a strategic alliance with Keyence Corp., a leading supplier of sensors for factory automation (FA) and measuring instruments. By acquiring approximately 44 percent of JustSystems Corp. for $44.7 million, Keyence provides JustSystems financial stability and enterprise opportunities into Fortune 2000 manufacturing companies.

“Together, JustSystems and Keyence enjoy tremendous synergies that promise new directions for growth as well as reinforced financial stability to weather the current economic downtown,” said Aaron Deitcher, vice president of North America and EMEA for JustSystems. “The XMetaL group in North America and Europe has been able to maintain a stronghold as leader in the XML content creation and collaboration market. The working capital infused into our Japanese parent company provides us confidence to continue to build on our momentum and create strong growth for the XMetaL business.”

Objectives of the Alliance

Three Keyence directors will join the JustSystems board of directors while the JustSystems management team will remain in place to lead the company.

Keyence strengths in planning, business know-how, and financial stability underpin key objectives of the alliance, including:

  • introducing and leveraging Keyence’s business know-how to expand JustSystems’ software business in Japan,
  • increasing JustSystems’ working capital, and
  • reducing JustSystems’ debt.

Keyence's sensors, vision systems, and high definition microscopes are part of the manufacturing and research processes in a variety of industries, including the electronic, semiconductor, automotive, food and packaging, biotechnology, and pharmaceutical industries. Going forward, Keyence is poised to expand its factory automation hardware, with opportunities to leverage JustSystems’ software expertise to offer complete, end-to-end solutions that include both hardware and software.
